Delphi advises PostNord group on acquisition
PostNord’s wholly owned subsidiary, Tidningstjänst AB has acquired Svensk Morgondistribution KB’s operations. Together with PostNord’s legal department, Delphi advised PostNord and Tidningstjänst AB on the transaction. The value of the deal well exceeds SEK one billion and involves long-term distribution of the daily newspapers of the media groups, MittMedia and Västerbotten-Kuriren. The transferred business has an annually adjusted payroll of 740 employees and turned over SEK 350 million during 2011.
The acquisition is conditional upon the approval of the Swedish Competition Authority, amongst other things.
Delphi partner, Marcus Nivinger headed the team and he was assisted mainly by Fredrik Mörner. Rickard Isacson, Olof Hagberg, Johan Wijk, Paula Hogéus and Henrik Bengtsson worked on the due-diligence. Svensk Morgondistribution KB is owned by Svensk Morgondistribution AB (which in turn is owned by MittMedia Förvaltnings AB (75%) and Västerbottens-Kurirens AB (25%)), Allehanda Media Ångermanland AB, GävleTidningar AB, Hälsingetidningar AB, Sundsvalls Tidnings AB, Västerbottens-Kurirens AB and ÖstersundsTidningar AB and delivers about 100 million newspapers annually.
